Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of Olak and SlateIt (together, the "Services"), operated by One Differential Private Limited ("One Differential", "Company", "we", "our", or "us"), a company incorporated under the laws of India with its registered office at 15, Manav Mandir Society, Seminary Hills, Nagpur – 440006, Maharashtra, India.

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. These Terms should be read together with our Privacy Policy, which explains how we collect and use your personal data.

2. Eligibility

You must be at least 18 years of age and capable of entering into a binding contract under the Indian Contract Act, 1872, to use the Services. By using the Services, you represent that you meet this requirement. The Services are intended for business and professional use by individuals and entities based in India. If you access the Services from outside India, you are responsible for compliance with local laws applicable to you.

If an app is not yet available in your city, you may join a waitlist by providing your name, email, and city. Joining the waitlist does not create an account or entitle you to access the Services until they become available and you complete registration.

3. Your Account

3.1

You must register for an account and provide accurate, current, and complete information before you can access or use the Services. You cannot use any part of the app, including browsing or any other functionality, without first creating an account. (This does not apply to a visitor interacting with a public Business Page or its chat assistant on Olak outside the app, as described in our Privacy Policy, which does not require an account.)

3.2

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.3

You must notify us promptly at legal@onedydx.com if you become aware of any unauthorised use of your account.

3.4

We reserve the right to suspend or terminate accounts that provide false, misleading, or incomplete information, or that are used in violation of these Terms.

4. Description of Services

4.1 Olak

Olak is a business networking platform primarily but not restricted to micro, small and medium enterprises (MSMEs) and independent entrepreneurs. Olak allows you to create a professional profile, connect with other members, post requests on a community via an "Ask" board, react to and re-promote other members' posts, and give and receive public "vouches" reflecting other members' personal experience of working with you. Your platform activity may be reflected as a "level" or reputation indicator on your profile. If you are a Premium member, you may also create a Business Page, a public web page for your business accessible at a dedicated Olak subdomain, which includes an AI-powered chat assistant that answers visitor queries based on the content you provide.

Olak does not itself offer, broker, recommend, or provide any business, work, service, or project to any user. Vouches, levels, reactions, Ask board posts, and Business Page content reflect the activity and personal opinions of members; Olak does not verify, endorse, or guarantee the identity, credentials, or trustworthiness of any member, the accuracy of any vouch, post, or level, or the accuracy of any Business Page content or chat assistant response. Any engagement, transaction, or interaction between members, or between a member and a visitor to their Business Page, is undertaken directly between the parties concerned, entirely at their own discretion and risk. Olak also allows members to organise, list, and RSVP to offline networking events.

4.2 SlateIt

SlateIt is a productivity platform for small and medium businesses (SMBs). SlateIt allows your team to create groups/channels, communicate in a group chat (including text, files, and voice notes), and use an AI-powered task agent that reads group conversations to automatically capture, create, and assign tasks with an owner and due date, and to send follow-up pings and reminders. SlateIt also allows you to connect and sync per-group and per-account calendars, surface scheduling conflicts, add threaded comments to tasks, and switch between multiple accounts/teams within the app.

4.3 Changes to the Services

We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice, though we will make reasonable efforts to notify you of material changes that affect your use of the Services.

5. Subscriptions and Payments

5.1 Free Trial

From time to time, we may offer a free trial period for a Premium subscription. Where a free trial is offered, the length of the trial and any applicable terms will be shown in the app at the time of sign-up. To begin a free trial, you may be required to provide payment details and authorise automatic payment (auto-renewal) through the Apple App Store or Google Play Store, as applicable, in accordance with their respective billing systems. You will not be charged during the free trial period unless otherwise stated in the app at the time of sign-up.

5.2 Automatic Conversion to Paid Subscription

Unless you cancel your subscription at least 24 hours before the end of the applicable free trial period, your account will automatically convert to a paid Premium subscription at the then-current subscription price, and your payment method will be charged accordingly through the Apple App Store or Google Play Store, as applicable. Any unused portion of the free trial period is forfeited once you are charged for a paid subscription.

5.3 Subscription Terms

Where applicable, a paid subscription:

  • Automatically renews for the subscription period selected (e.g., monthly or annually), unless auto-renewal is turned off at least 24 hours before the end of the current period;
  • Will be charged to your Apple ID or Google Play account (as applicable) at confirmation of purchase or renewal, and your account will be charged for renewal within 24 hours prior to the end of the current period;
  • Can be managed, and auto-renewal can be turned off, at any time through your Apple ID account settings or Google Play account settings, as applicable, after purchase.

Cancelling during the free trial or a paid subscription period will not result in a refund for any period already paid for, but you will retain access until the end of the current billing period.

5.4 Changes to Subscription Plans

One Differential reserves the right to modify, discontinue, or change the pricing, features, duration, availability, or other terms of any subscription plan or free trial from time to time. Any such changes will be communicated to users in advance where required by applicable law or the policies of the Apple App Store or Google Play Store, and will take effect in accordance with the applicable platform's billing and subscription rules. Continued use of the Premium subscription after such changes become effective constitutes acceptance of the revised subscription terms.

6. User Content

6.1

"User Content" means any information, text, images, files, voice notes, business page content, brochures, Ask board posts, vouches, tasks, comments, messages, or other material you submit, upload, or post through the Services.

6.2

You retain ownership of your User Content. By submitting User Content, you grant One Differential a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, and distribute that content solely for the purpose of operating, providing, and improving the Services (for example, displaying your Business Page to visitors, enabling the chat assistant to answer questions using your content, or enabling the SlateIt task agent to process group chat content to create tasks).

6.3

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to submit it;
  • It does not infringe any third party's intellectual property, privacy, or other rights;
  • It is accurate and not misleading, particularly in relation to any business information, services offered, or representations made on a Business Page;
  • It does not violate any applicable law.

6.4

Where you tick the declaration that you are an authorised representative of a business when creating a Business Page, this is a self-certification made by you, and we do not independently verify this.

6.5

We do not pre-screen User Content, but we may remove or disable access to any User Content that we believe, in our reasonable discretion, violates these Terms, applicable law, or a third party's rights, or upon receipt of a valid legal notice or takedown request.

6.6 Reporting, Blocking and Moderation

Users may report content, Business Pages, messages, events, or other users that they reasonably believe violate these Terms, applicable law, or the rights of any person. Users may also block other users through the functionality made available in the Services, where applicable. Upon receiving a report, One Differential may review the reported content or account and, at its sole discretion, take appropriate action, including removing or restricting access to content, issuing warnings, limiting functionality, suspending or terminating accounts, or taking any other action it considers appropriate to maintain the safety, integrity, and proper functioning of the Services. We are not obligated to remove or act on any reported content unless required by applicable law or our policies.

7. AI-Powered Features

7.1

The Services include AI-powered features, including Olak's Business Page chat assistant and SlateIt's task agent, which generate automated responses, tasks, or reminders based on content provided by users (including group chat conversations on SlateIt) and processed through third-party AI service providers, as described in our Privacy Policy.

7.2

AI-generated content (including chat responses, tasks, task assignments, due dates, and pings) is automated and may be inaccurate, incomplete, or out of date. We do not guarantee the accuracy, reliability, or completeness of any AI-generated content, and such content should not be relied upon as professional, legal, financial, or other advice. On SlateIt, you and your team remain responsible for reviewing, correcting, and managing tasks created or assigned by the task agent.

7.3

Users are responsible for the accuracy of the information they provide for use by an AI feature (including Business Page notes and group chat content on SlateIt), and should not include sensitive personal information or confidential information beyond what is necessary for the relevant feature to function.

8. Vouches, Ask Board, Reactions, and Levels

8.1

Olak allows members to post requests on a community "Ask" board, respond to other members' requests, react to posts, "re-promote" posts or profiles, and give and receive public "vouches." Your platform activity may also be reflected as a computed "level" or reputation indicator on your profile.

8.2

A vouch, reaction, re-promotion, Ask board post, or level reflects the personal activity or opinion of the member who generated it, or an automated computation based on your platform activity. It is not independently verified, endorsed, or guaranteed by One Differential, and should not be treated as a certification of any member's identity, credentials, trustworthiness, or the quality of their work.

8.3

You agree not to manipulate, fabricate, exchange for payment, or artificially inflate vouches, reactions, re-promotions, levels, or Ask board engagement (including through fake accounts, coordinated activity, or any other means designed to misrepresent genuine community activity).

8.4

We may remove a vouch, reaction, post, or re-promotion, or adjust a level/reputation score, where we reasonably believe it was obtained through manipulation, is false or misleading, or otherwise violates these Terms.

9. Offline Events

9.1

Members may organise or list offline networking events through Olak, and other members may RSVP to attend.

9.2

If you organise an event, you are solely responsible for the event, including its safety, legality, and conduct, and for your own use of any attendee information you receive in connection with organising it (see our Privacy Policy for further detail on this point).

9.3

One Differential is not responsible for the conduct of any organiser or attendee, or for any loss, injury, or dispute arising from an offline event. Attendance at any event is at your own risk.

10. Acceptable Use

You agree not to:

  • Impersonate any person or entity, or misrepresent your affiliation with any business;
  • Post false, misleading, or fraudulent information on your profile or Business Page;
  • Use the Services to harass, defame, threaten, or abuse any other user;
  • Upload content that is unlawful, obscene, defamatory, infringing, or otherwise objectionable;
  • Attempt to gain unauthorised access to the Services, other users' accounts, or our systems;
  • Use automated means (bots, scrapers) to access or extract data from the Services without our prior written consent;
  • Use the chat assistant or any AI feature to generate or extract unlawful, abusive, or harmful content;
  • Use the Services for any unlawful purpose or in violation of any applicable law.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account and reporting to law enforcement, for any violation of this section.

11. Intellectual Property

11.1

The Services, including their design, features, software, and all content provided by us (excluding User Content), are owned by One Differential or our licensors and are protected by applicable intellectual property laws.

11.2

"Olak," "SlateIt," and associated logos are trademarks of One Differential. You may not use our trademarks without our prior written consent.

11.3

Nothing in these Terms grants you any right or licence to use our intellectual property except as necessary to use the Services as intended.

12. Third-Party Services

The Services rely on and integrate with third-party service providers (including Firebase, Supabase, RevenueCat, Google/Apple Sign-In, Google/Apple Calendar, OpenRouter, and underlying AI providers), as described in our Privacy Policy. We are not responsible for the acts, omissions, or availability of these third-party services, which are governed by their own terms and policies.

13. Disclaimers

13.1

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

13.2

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

13.3

We do not endorse, and are not responsible for, any User Content, Business Page, vouch, Ask board post, level/reputation score, AI-generated response or task, or offline event, or for any engagement, transaction, or dispute between users or between a user and a third party arising from their use of the Services.

14. Limitation of Liability

14.1

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONE DIFFERENTIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

14.2

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 1,000, WHICHEVER IS GREATER.

14.3

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Indian law.

15. Indemnification

You agree to indemnify and hold harmless One Differential, its officers, directors, employees, and agents from any claim, liability, damages, loss, or expense (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any right of a third party, including in connection with your Business Page, vouches, Ask board posts, or any offline event you organise.

16. Termination

16.1

You may stop using the Services and delete your account at any time through the in-app settings or by contacting us.

16.2

We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if required by law, or if we discontinue the Services.

16.3

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination (including Sections 11, 13, 14, 15, and 18) will survive.

16.4

Deletion of your account and associated data will be handled in accordance with our Privacy Policy.

17. Grievance Officer

In accordance with the Information Technology Act, 2000 and rules made thereunder, and the Digital Personal Data Protection Act, 2023, we have appointed a Grievance Officer to address complaints regarding the Services or User Content.

If you believe any content on the Services violates these Terms or applicable law, or if you have any other grievance, please write to the Grievance Officer with full details. We will acknowledge and address your complaint within the timeframe prescribed under applicable law.

18. Governing Law and Dispute Resolution

18.1

These Terms are governed by the laws of India.

18.2

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

18.3

If a dispute is not resolved within 30 days of written notice, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Nagpur, Maharashtra. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, and the proceedings shall be in English.

18.4

Subject to the arbitration agreement above, the courts at Nagpur, Maharashtra shall have exclusive jurisdiction over any matter not subject to arbitration.

19. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes through the app or by other appropriate means, and will update the "Last Updated" date above. Your continued use of the Services after such changes constitutes your acceptance of the updated Terms.

20. Miscellaneous

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and One Differential regarding the Services.

20.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

20.3 No Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.

20.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

20.5 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
